Terms of Service

These Terms form a legal agreement between you and Dessix Ltd. (“Dessix,” “we,” “our,” or “us”) for your use of dessix.ai, the Dessix desktop application and CLI, and related services.
1. Acceptance and eligibility
By creating an account, downloading Dessix, or using the Services, you agree to these Terms and our Privacy Policy. You must be at least 16 years old and legally able to enter this agreement. If you use Dessix for an organization, you confirm that you have authority to bind that organization.
2. What Dessix provides
Dessix is a control plane for persistent, conversational, automatable, and reusable agentic cells called Spaces. It lets you assemble agents, tools, local folders, memory, events, and interfaces around a Space; run work on your own device; and review the resulting timeline, usage, and audit pointers.
The Services also include optional cloud account, encrypted device relay, connector, membership, wallet, and Built-in Agent features. Features may be released as previews, changed, limited, or discontinued as the product develops.
3. Accounts and device security
- Provide accurate account information and keep your sign-in methods secure.
- You are responsible for activity performed through your account, paired devices, local runtime sessions, credentials, and connectors until you revoke or secure them.
- Tell us promptly if you suspect unauthorized account or payment activity. We may require identity verification before changing access or disclosing account information.
- Keep suitable backups of important local Spaces, files, credentials, and runtime data. Dessix’s cloud account is not a backup of the files stored by your daemon.
4. Your content, local data, and permissions
You retain your rights in prompts, Space content, files, instructions, configurations, and outputs you create or supply (“Your Content”). You grant Dessix a limited, worldwide, non-exclusive license to host, transmit, reproduce, and process Your Content only as reasonably necessary to provide, secure, and support the Services you request.
You are responsible for having the rights and permissions needed for Your Content and for every local folder, repository, account, connector, and third-party service you make available to an agent. Local Space data remains subject to the access controls and backup practices of the device and operating-system account where it is stored.
5. Agents, automation, and outputs
Dessix can start agent runs from conversation, mentions, schedules, triggers, or other events. You choose the participants, capabilities, folders, budgets, expiry, and other boundaries for automated runs. You remain responsible for those instructions and for reviewing the actions and results produced under them.
AI and agent outputs can be incomplete, inaccurate, offensive, insecure, or unsuitable for your purpose. Similar or identical outputs may be produced for other users. Apply appropriate human review before relying on an output, publishing it, executing code, spending money, changing production systems, or taking another consequential action. Dessix is not a substitute for professional legal, medical, financial, or safety advice.
6. External runtimes, models, and connectors
Dessix can work with external runtimes including Claude Code, Codex, and Pi Agent, along with AI model providers, MCP servers, Composio, and services you connect. Those services are supplied by third parties and governed by their own agreements, privacy policies, availability, usage limits, pricing, and output licenses.
You are responsible for third-party accounts, API keys, subscriptions, charges, and compliance. Dessix may pass the context and tool calls needed to perform the action you request, but does not control a third party’s service, model behavior, retention, or security.
7. Acceptable use
You must not use the Services to:
- Break the law, violate another person’s rights, or facilitate fraud or abuse.
- Introduce malware, evade security controls, probe systems without authorization, or interfere with the Services or another user.
- Access accounts, devices, files, credentials, or connected services without permission.
- Misrepresent the origin of automated content, impersonate others, or use outputs in a deceptive or harmful manner.
- Resell, reverse engineer, scrape, or overload the Services except where law or an applicable open-source license expressly permits it.
We may investigate suspected abuse and suspend or restrict access where reasonably needed to protect users, third parties, or the Services.
8. Paid services
Memberships and wallet credits are separate
A membership can provide model discounts and member features. Wallet funds pay for metered Built-in Agent usage. A membership does not itself create an unlimited AI usage allowance, and a wallet top-up does not create a membership. External runtimes and model subscriptions remain billed by their providers.
Pricing and metered usage
Prices are presented in US dollars unless stated otherwise. Built-in Agent usage is charged from your wallet using the upstream cost and any applicable member discount for that model. Displayed per-token rates are estimates; the completed request’s provider usage and cost record determines the final debit. You authorize us to apply those debits to your wallet.
Recurring plans
Monthly and yearly memberships renew automatically until canceled. You can manage renewal, cancellation, and payment methods through the Stripe billing portal made available in Dessix. Cancellation takes effect at the end of the current paid period unless law or our refund policy requires otherwise. Taxes and payment-provider fees may apply.
Refund eligibility is governed by our Refund & Return Policy, which preserves any mandatory rights available under applicable law.
9. Dessix intellectual property
The Services, brand, design, software, documentation, and other Dessix materials are owned by Dessix or its licensors. Subject to these Terms, Dessix grants you a limited, non-exclusive, non-transferable, revocable right to use the Services for your own personal or business purposes. Components distributed under an open-source license remain governed by that license.
If you send feedback, you allow Dessix to use it without restriction or payment, while you keep any rights you already hold in the underlying material.
10. Availability, suspension, and termination
We aim to keep the Services reliable but do not promise uninterrupted availability. We may perform maintenance, respond to security incidents, enforce usage limits, or change dependencies. We may suspend or terminate access for a material breach, security risk, unpaid amount, unlawful use, or harm to the Services or others.
You may stop using Dessix at any time. Ending cloud access does not itself erase local files on your devices. Provisions that by their nature should survive termination, including payment obligations, ownership, disclaimers, liability limits, and dispute terms, will survive.
11. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available.” Dessix disclaims implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, title, non-infringement, and that the Services or outputs will be accurate, secure, uninterrupted, or error-free. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
12. Limitation of liability
To the fullest extent permitted by law, Dessix and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss; loss of profits, revenue, goodwill, data, or business opportunity; or loss caused by a third-party runtime, provider, connector, output, or action you authorized.
Dessix’s total liability arising from the Services will not exceed the greater of £100 or the amount you paid Dessix during the 12 months before the event giving rise to the claim. These limits do not apply to fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or another liability that law does not allow us to limit.
13. Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except that a consumer may also have mandatory rights to bring a claim in the courts of the country where they live. Before filing a formal claim, please contact us so we can try to resolve the issue.
14. Changes and general terms
We may update these Terms to reflect changes in the Services, law, security, or business operations. The current version will be posted here with its effective date. Material changes will receive additional notice where required. If one provision is unenforceable, the remaining provisions stay in effect. A delay in enforcement is not a waiver. You may not transfer this agreement without our consent; Dessix may transfer it as part of a merger, reorganization, financing, or sale of the relevant business.
